Underwriting agreement
Underwriting agreementAn underwriting agreement in one under which, before a company issues shares to the public, a person undertakes in consideration of a commission to take up the whole or a portion of such of the offered shares as may not be subscribed for by the public. RELATED TERMS-------------------------------------- Agreement A verbal or written resolution of disputes. Company An association of a number of individuals for the purpose of carrying on some legitimate business. Issues English law. Public By the term the public, is meant the whole body politic, or all the citizens of the state; sometimes it signifies the inhabitants of a particular place; as, the New York public. Person This word is applied to men, women and children, who are called natural persons. Consideration Under common law, there can be no binding contract without consideration, which was defined in an 1875 English decision as "some right, interest, profit or benefit accruing to the one party, or some forbearance, detriment, loss or responsibility given, suffered or undertaken by the other". Common law did not want to allow gratuitous offers, those made without anything offered in exchange (such as gifts), to be given the protection of contract law.
